1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the Friday platform, including our web application, AI services, and related features (collectively, the "Service") operated by Friday ("we," "our," or "us").

By creating an account or using the Service, you agree to be bound by these Terms. If you are using Friday on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Friday is an AI-powered platform designed to serve as a virtual cofounder for solo founders and small startup teams. The Service includes:

• AI-generated research, documents, outreach materials, and strategic recommendations
• Six-stage startup progression tracking from Idea through Raising capital
• Document generation including pitch decks, investor materials, landing page copy, and operational documents
• Pitch practice with AI-simulated investor personas and scoring
• Customer interview synthesis and pattern analysis
• Social media content creation and scheduling
• Team collaboration features including shared workspaces, assignments, and comments
• Third-party integrations (Twitter, LinkedIn, Google, Slack, and others)
• Daily AI-generated briefs and proactive startup insights

3. Account Registration

To use Friday, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access to your account

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Subscription and Pricing

Friday offers the following subscription tiers:

• Solo Founder: $499/month - One founder, full AI cofounder support
• Founding Team: $999/month - Up to 3 cofounders, shared workspace
• Funded Startup: $1,999/month - Teams that have raised $500K+
• Enterprise: Custom pricing for large teams with custom integrations

Annual subscriptions receive a discount equivalent to two months free. Prices are subject to change with 30 days prior notice to active subscribers.

5. Payment Terms

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy
• You authorize us to charge your designated payment method on a recurring basis
• Failure to pay may result in suspension or termination of your access
• We may offer a free trial period; if you do not cancel before the trial ends, your subscription will begin automatically

6. Intellectual Property and Content Ownership

Your Content

• You retain all ownership rights to content you input into Friday (business data, documents, interview transcripts, etc.)
• You own all AI-generated content created by Friday on your behalf (documents, emails, strategies, pitch materials)
• You grant us a limited license to process your content solely for the purpose of providing the Service

Our Property

• The Friday platform, including its AI models, algorithms, user interface, branding, and underlying technology, is our property
• You may not copy, modify, distribute, reverse-engineer, or create derivative works of any part of the Service
• The Friday name, logo, and related marks are our trademarks

7. AI-Generated Content Disclaimer

Friday uses artificial intelligence to generate content, recommendations, and analysis. You acknowledge and agree that:

• AI-generated content is provided as a starting point and should be reviewed before use
• AI outputs may contain inaccuracies, errors, or outdated information
• Friday is not a substitute for professional legal, financial, or investment advice
• You are solely responsible for verifying the accuracy and appropriateness of any AI-generated content before sending it externally or relying on it for business decisions
• Pitch practice scores and investor feedback simulations are for preparation purposes only and do not predict actual investment outcomes
• Market research and competitive analysis are based on available data and may not reflect current conditions

8. Acceptable Use

You agree not to use Friday to:

• Violate any applicable laws, regulations, or third-party rights
• Generate fraudulent, misleading, or deceptive business materials
• Send spam, unsolicited communications, or harassing messages through integrations
• Misrepresent AI-generated content as human-authored in contexts where disclosure is legally required
• Attempt to manipulate, reverse-engineer, or extract the underlying AI models
• Use automated scripts, bots, or scrapers to access the Service beyond normal usage
• Upload malicious content, viruses, or harmful code
• Impersonate other individuals or entities
• Circumvent usage limits, security measures, or access controls
• Use the Service for any illegal activity, including securities fraud or market manipulation

9. Third-Party Integrations

Friday allows you to connect third-party services including Google Workspace, Twitter/X, LinkedIn, Slack, Notion, GitHub, and others. By connecting these services:

• You authorize Friday to access and use data from those services as needed to provide functionality
• You are responsible for complying with the terms of service of each connected platform
• Content posted to external platforms through Friday is subject to those platforms' content policies
• We are not responsible for the availability, accuracy, or actions of third-party services
• You may disconnect integrations at any time through your Settings page

10. Team Collaboration

If you invite team members to your workspace:

• You are responsible for managing access levels and permissions for your team
• All team members must comply with these Terms
• The workspace owner is responsible for content created by team members within the workspace
• Removing a team member revokes their access but does not delete content they contributed

11. Data and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy for details on how we handle your data.

12. Service Availability and Modifications

• We strive for high availability but do not guarantee uninterrupted access to the Service
• We may modify, suspend, or discontinue features with reasonable notice
• Scheduled maintenance will be communicated in advance when possible
• We are not liable for temporary service interruptions, data delays, or AI processing latency

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
• We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim arising from the Service shall not exceed the fees you paid in the twelve months preceding the claim
• We are not liable for business decisions made based on AI-generated recommendations or content
• We are not liable for the outcome of investor meetings, fundraising efforts, or business ventures undertaken using Friday

14. Indemnification

You agree to indemnify and hold harmless Friday, its officers, directors, employees, and agents from any claims, losses, or damages (including reasonable legal fees) arising from:

• Your use of the Service or violation of these Terms
• Content you create, publish, or distribute using the Service
• Your interaction with investors, customers, or third parties facilitated by Friday
• Violation of any third-party rights through your use of integrations

15. Termination

• You may cancel your subscription and delete your account at any time through Settings
• We may terminate or suspend your access for violation of these Terms with or without notice
• Upon termination, your right to use the Service ceases immediately
• We will make your data available for export for 30 days after termination, after which it will be permanently deleted
• Sections regarding intellectual property, limitation of liability, and indemnification survive termination

16. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English. You agree to waive any right to a jury trial or to participate in a class action.

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

18. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service or via email at least 30 days before taking effect. Your continued use of Friday after the effective date of changes constitutes acceptance of the modified Terms.

19. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Friday
• Severability: If any provision is found unenforceable, the remaining provisions remain in full effect
• Waiver: Failure to enforce any right or provision does not constitute a waiver of that right
• Assignment: You may not assign your rights under these Terms without our written consent
• Force Majeure: We are not liable for failures due to circumstances beyond our reasonable control
